Please read these terms carefully before engaging our services. By using NetJet Labs services, you agree to be bound by these terms.

Acceptance of Terms

By accessing and using the NetJet Labs website, mobile application, or engaging our services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

NetJet Labs reserves the right to modify these Terms at any time. Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes. We encourage you to review these Terms periodically to stay informed of any updates.

💡 These Terms apply to all users, including but not limited to browsers, clients, and customers.

Services Description

NetJet Labs provides comprehensive digital solutions including but not limited to:

  • Web Development: Custom web applications, responsive websites, and web platforms
  • Mobile App Development: Native and cross-platform mobile applications
  • UI/UX Design: User interface and user experience design services
  • Branding: Logo design, brand strategy, and visual identity
  • IoT Solutions: Internet of Things integration and deployment
  • ERP Systems: Enterprise Resource Planning implementations

All services are provided on an as-is basis unless otherwise specified in a written agreement. NetJet Labs is not responsible for any third-party services or integrations used in conjunction with our Services unless explicitly agreed upon in writing.

⚠️ Service availability and performance may be affected by factors beyond NetJet Labs' reasonable control, including but not limited to internet connectivity and third-party services.

User Responsibilities

As a user of NetJet Labs services, you agree to:

  1. Provide accurate, complete, and current information during registration and project intake
  2. Maintain the confidentiality of your account credentials and passwords
  3. Notify NetJet Labs immediately of any unauthorized access to your account
  4. Use the Services only for lawful purposes and in compliance with all applicable laws and regulations
  5. Not engage in any activity that may harm, disrupt, or interfere with our Services
  6. Provide necessary feedback, approvals, and timely communications for project progression
  7. Not reverse engineer, decompile, or attempt to discover the source code of our proprietary systems
  8. Comply with all applicable data protection and privacy regulations

Users are solely responsible for all activities that occur under their account. NetJet Labs is not liable for any unauthorized use of your account or any loss arising from your failure to maintain account security.

Intellectual Property Rights

NetJet Labs Intellectual Property: All content, code, designs, and materials created by NetJet Labs prior to or independent of client projects remain the exclusive property of NetJet Labs. This includes pre-existing tools, templates, frameworks, and methodologies.

Client Deliverables: Upon full payment of agreed-upon fees, the Client receives ownership of custom-developed deliverables created specifically for the Client's project, including custom code, designs, and documentation.

Third-Party Components: Any third-party libraries, frameworks, or open-source components integrated into deliverables remain subject to their respective licenses. Client assumes responsibility for compliance with these licenses.

License Restrictions: Client agrees not to:

  • Sublicense or resell deliverables without explicit written consent
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use deliverables to develop competing services
  • Claim authorship of work created by NetJet Labs

📝 NetJet Labs retains the right to use general methodologies, processes, and learnings from projects in future work for other clients (without disclosing client-specific information).

Confidentiality

Both parties agree to maintain strict confidentiality regarding any sensitive information shared during the engagement, including but not limited to:

  • Business strategies and plans
  • Financial information and projections
  • Customer data and lists
  • Technical specifications and algorithms
  • Trade secrets and proprietary processes
  • Login credentials and API keys

Exceptions: Confidentiality obligations do not apply to information that:

  • Is publicly available through no breach of this agreement
  • Was lawfully possessed prior to disclosure
  • Must be disclosed by law or court order (with reasonable notice to the disclosing party)
  • Is independently developed without reference to confidential information

NetJet Labs may use anonymized project examples for marketing purposes unless explicitly prohibited in writing.

Payment Terms

Payment Schedule: All fees are outlined in the project proposal or statement of work. Default payment terms are:

  • 50% deposit: Due upon project initiation
  • 50% balance: Due upon project delivery

Accepted Payment Methods: Visa, Mastercard, PayPal, Skrill, bKash, and bank transfer.

Late Payments: Invoices are due upon receipt. Late payments may result in suspension of services and will accrue interest at 1.5% per month (or the maximum allowed by law).

Refund Policy:

  • Refunds for deposits are provided only if NetJet Labs terminates the project without cause
  • Work-in-progress costs are non-refundable after development has commenced
  • Refund requests must be submitted within 30 days of final invoice
  • Refunds exclude any costs already incurred or committed by NetJet Labs

💳 All pricing is subject to applicable taxes unless tax-exempt documentation is provided.

Warranties and Disclaimers

Limited Warranty: NetJet Labs warrants that deliverables will be created in a professional and workmanlike manner according to industry standards and will function substantially as described in the project specification.

Warranty Period: Warranty coverage applies for 30 days following project delivery. Issues must be reported in writing within this period.

Disclaimer of Warranties: EXCEPT AS EXPRESSLY PROVIDED ABOVE, NETJET LABS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding uninterrupted or error-free service
  • Warranties regarding security, data integrity, or privacy
  • Warranties regarding third-party integrations or services

No Guarantee: NetJet Labs does not guarantee specific business results, revenue generation, or user acquisition. Success depends on multiple factors beyond NetJet Labs' control.

⚠️ The Services are provided "as-is" and "as-available." NetJet Labs disclaims liability for any bugs, errors, or security vulnerabilities discovered after the initial warranty period.

Limitation of Liability

Cap on Liability: In no event shall NetJet Labs' total cumulative liability to Client exceed the fees paid by Client in the 12 months preceding the claim, or $10,000 USD, whichever is greater.

Excluded Damages: In no event shall NetJet Labs be liable for any:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunity
  • Loss of data or corruption of data
  • Loss of goodwill or reputation damage
  • Cost of substitute goods or services
  • Damages arising from unauthorized third-party access or data breaches

Basis of Agreement: This limitation of liability is a fundamental basis upon which NetJet Labs has agreed to provide services at the stated prices. Client acknowledges that it would not engage NetJet Labs without this limitation.

Exceptions: The above limitations do not apply to either party's liability for:

  • Gross negligence or willful misconduct
  • Infringement of intellectual property rights
  • Breach of confidentiality obligations
  • Indemnification obligations

Indemnification

Client Indemnification: Client agrees to indemnify, defend, and hold harmless NetJet Labs and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:

  • Client's use of the Services in violation of these Terms
  • Client's use of deliverables in ways not approved by NetJet Labs
  • Client's content or data uploaded to NetJet Labs systems
  • Client's infringement of third-party intellectual property rights
  • Client's violation of applicable laws or regulations

NetJet Labs Indemnification: NetJet Labs agrees to indemnify Client from claims that custom deliverables infringe valid third-party intellectual property rights, provided Client:

  • Promptly notifies NetJet Labs of the claim
  • Grants NetJet Labs sole control of the defense
  • Provides reasonable cooperation in the defense

If deliverables are found to infringe, NetJet Labs may, at its option and expense: (a) obtain rights for Client to continue using the deliverables, (b) modify deliverables to be non-infringing, or (c) terminate services and refund fees paid.

Termination of Services

Termination for Convenience: Either party may terminate a project with 30 days' written notice. Upon termination:

  • Client remains responsible for all work completed through the termination date
  • NetJet Labs will deliver all completed deliverables and work-in-progress
  • NetJet Labs will refund any prepaid fees for work not yet started

Termination for Cause: NetJet Labs may immediately terminate services without refund if Client:

  • Fails to pay invoices 30 days after due date
  • Breaches material terms of the agreement and fails to cure within 15 days of notice
  • Engages in illegal or unethical conduct
  • Uses the Services to harm others or violate laws

Effect of Termination: Upon termination, all rights to use the Services cease. Client must delete or return all confidential information. Provisions regarding Confidentiality, Intellectual Property, Indemnification, and Limitation of Liability survive termination.

🔒 NetJet Labs may retain Client data for record-keeping and legal compliance purposes as required by law.

Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law principles.

Jurisdiction: Both parties agree to the exclusive jurisdiction of the courts of Dhaka, Bangladesh for resolution of any disputes.

Informal Dispute Resolution: Before initiating formal legal proceedings, the parties agree to attempt good-faith negotiation and mediation to resolve disputes.

Negotiation Process:

  1. The complaining party must send written notice of the dispute to the other party
  2. The parties will meet (in person or remotely) within 15 days to discuss resolution
  3. If not resolved within 30 days, either party may escalate to mediation

Mediation: If negotiation fails, disputes may be submitted to mediation before a mutually agreed-upon mediator. Mediation costs will be shared equally.

Litigation: If mediation fails, either party may file suit in courts of competent jurisdiction. The prevailing party may recover reasonable attorney's fees and court costs.

Changes to These Terms

Right to Modify: NetJet Labs reserves the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date at the top of this document.

Effect of Changes: Your continued use of our Services after any modification constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using our Services.

Existing Agreements: For existing project agreements, modifications to these general Terms will not affect ongoing projects unless explicitly agreed to in writing by both parties.

Material Changes: For significant changes that substantially alter your rights or obligations, we will provide at least 30 days' notice via email or prominent website notice.
